INDELIBLE NETWORK AGREEMENT

 Indelible Network and Representative are the parties to this agreement. They expect to disclose confidential information to each other for many purposes.

The parties are not allowed to disclose any confidential information to anyone other than parties involved for any reason.

Confidentiality information is information that either party has developed or obtained and has taken reasonable steps to protect from discloser. Confidential information is Not information that

(a) the recipient of the confidential information already knew through proper means;

(b) the recipient rightfully received or will receive from a third party with no confidential duty;

(c) the recipient develops independently

Both parties must use a reasonable degree of care to protect any confidential information they receive from each other. They must protect this information from unauthorized use or disclosure. They are not allowed to share this information with anyone except their employees, agents, directors, or third-party contractors who need to know it for the purposes of this agreement and who have agreed to keep the information confidential.

This agreement applies to information disclosed within two years of the signing. Each party must continue to protect the confidentiality of information disclosed. This agreement does not limit the duration of an obligation to protect a trade secret.

This agreement is between the two parties named above. Neither party may delegate, transfer, or assign this agreement to a third party without written consent of the other.

Failure to enforce any provision within this agreement doesn't not waive that provision.

In this agreement Indelible Network also prohibits the solicitation of any service from one member to another current or previous without the proper written consent. Current or upon termination party must not engage, solicit, or influence any team member, suppliers, customers, or media about any confidential information, actions that took place within, or use any information used for the purpose to tarnish the reputation of Indelible Network or it’s owners.

Indelible Network holds the right to refuse to work with any individual they deem is not a fit for Indelible.

Indelible Network is not an employment based company that grants compensation or hourly wages. All representatives are independent contractors, any compensation, Free items, gifts etc is confidential information and will be discussed and agreed upon individually.

This is the parties’ entire agreement on this matter, superseding all previous negotiations or agreements. It can only be changed by mutual written consent.

The laws of the state of California govern this agreement and any disputes arising from it will be handled exclusively in courts in that state. The prevailing party in any dispute will entitled to recover reasonable costs and attorney’s fees.

Signing a copy of this agreement physical or electronic, will have the same effect as signing the original.
